PENNINGTONS MANCHES COOPER ADVISES LEADING PROVIDER OF TESTING, CONSULTING, INFORMATION, AND COMPLIANCE SERVICES, SMITHERS, ON ITS ACQUISITION OF RESCHEM ANALYTICAL LIMITED

The corporate team at Penningtons Manches Cooper has advised Smithers, a leading provider of testing, consulting, information, and compliance services, on its acquisition of ResChem Analytical Limited.

Founded in 1925 and headquartered in Akron, Ohio, Smithers is a multinational provider of testing, consulting, information, and compliance services. With laboratories and operations in North America, Europe, and Asia, Smithers supports customers in the transportation, life science, dry commodities, packaging, materials, components, consumer, and energy industries.

ResChem Analytical specialises in pesticide residue analysis and conducts regulatory studies on behalf of agrochemical companies for the registration of plant protection products.

This acquisition will enable Smithers to expand the scope and breadth of its global pesticide residue offering, and build its field cooperators network to conduct field trials in support of crop residue operator exposure studies.

The team advising Smithers was co-led by corporate partner Will Axtell and senior associate Dominique Sabatini, with support from senior associate Lindsay Chadwick and real estate senior associate Sarah Jordan.

Michael Hochschwender, CEO of Smithers, commented: “ResChem significantly enhances Smithers’ global pesticide residue offering by expanding our capacity, capabilities, expertise, and network of field cooperators, which greatly benefits our global clients in the agrochemical sector. In addition, we share a steadfast commitment to a client-first culture.”

Terrell Menefee, vice-president and general counsel, commented: “I’d like to thank Will, Dominique and the wider team at Penningtons Manches Cooper for their expertise and advice on this strategic, cross-border acquisition for Smithers.”

Will Axtell, corporate partner at Penningtons Manches Cooper said: “We are delighted to have advised Smithers on this important cross-border transaction, which will enable them to expand their already significant presence globally in the agrochemical sector, and we look forward to supporting them in the future.”
