PENNINGTONS MANCHES COOPER ADVISES THE SHAREHOLDERS OF MACHINE VISION TECHNOLOGY SPECIALISTS INDUSTRIAL VISION SYSTEMS ON ITS ACQUISITION BY OXFORD METRICS
The corporate team at Penningtons Manches Cooper has advised the shareholders of machine vision technology specialists Industrial Vision Systems on its acquisition by Oxford Metrics PLC (LSE: OMG).
Based in Oxfordshire, Industrial Vision Systems’ innovative machine vision systems are used globally in automated production processes for high precision quality control, inspection, guidance, identification, measurement, tracking and counting. Its highly accurate, non-contact vision systems offer quality control to a number of well-known brands, ultimately lowering their costs, and improving brand reputation, their competitiveness, and safety.
Oxford Metrics develops and markets smart sensing software for motion measurement with around 10,000 active clients in more than 70 countries, including major names in the healthcare, research, engineering and entertainment sectors.
The acquisition will bring specialised machine learning AI technology to Oxford Metrics, including artificial intelligence deep learning vision systems that are able to spot patterns and anomalies in real-time manufacturing quality control, ensuring solutions that are both precise and repeatable, and continuously learn based on image data.
The Penningtons Manches Cooper team was led by corporate partner Will Axtell, with support from senior associate Dominique Sabatini and trainee solicitor Zain Siddiqui. The wider team included corporate tax partner Kathy Potter, pensions partner Alison Hills and senior associate Clare Coley, data protection senior associate Nora Pook, and employment associate Luke Shaw.
Earl Yardley and Andrew Waller, co-founders at Industrial Vision Systems, said: “We are on a mission to make companies more efficient, highly flexible and quicker with our machine solutions. As part of Oxford Metrics, we will continue to develop and broaden our technology offering with an ongoing focus on innovation and research and development. I’d like to thank Will Axtell, Dominique Sabatini and the wider team at Penningtons Manches Cooper for their expertise and advice on this strategic transaction for Industrial Vision Systems. Their unwavering support and encyclopaedic expertise throughout the journey proved to be invaluable, and their knack for seamlessly bringing in other skilled members of their extended team was nothing short of remarkable.”
Will Axtell, corporate partner at Penningtons Manches Cooper, said: “We are delighted to have advised Industrial Vision Systems on its strategic acquisition by Oxford Metrics. This is an important technology deal involving two exciting companies in the Oxfordshire eco-system. Once again we see the value of AI and machine learning in providing competitive advantage in a quickly evolving market place. We wish both companies all the very best for an exciting future together”.
